The General Terms and Conditions of Sale set out herein (the “Terms”) are standard terms of business prepared in advance and unilaterally by Kürkçüoğlu Jeneratör Sanayi ve Ticaret Anonim Şirketi (the “Seller” or “KJ Power Generator”) for use in multiple similar transactions, within the meaning of Articles 20 to 25 of the Turkish Code of Obligations (Law No. 6098). They apply to all products, spare parts, equipment and related services sold by the Seller in Türkiye and abroad.

The description and technical specifications of the goods, quantity, unit and total price, currency, payment method and due dates, place and method of delivery (including any Incoterms® rule), delivery / shipment period, packaging, insurance, special conditions and any other order-specific commercial particulars shall be set out in the relevant proforma invoice, quotation, order confirmation or individual sales contract (the “Individual Contract”).

These Terms govern the general sale, delivery, payment, inspection, non-conformity, warranty, liability, force majeure, intellectual property, confidentiality, personal data, governing law and dispute-resolution matters that are not separately regulated in the Individual Contract, or that are required for the interpretation, completion and performance of the Individual Contract.

Order of precedence. In the event of any conflict between the Individual Contract and these Terms, the Individual Contract shall prevail in respect of the conflicting matter. Unless expressly agreed otherwise in writing in the Individual Contract, these Terms apply to all sales and deliveries of the Seller. The Buyer’s own general terms, purchasing conditions or standard clauses on a purchase order shall not form part of the contract unless the Seller has expressly accepted them in writing.

Incorporation and acceptance. The Seller notifies the Buyer of the existence and content of these Terms and affords the Buyer a reasonable opportunity to review them, including by attaching them to, or making them accessible through, the Individual Contract, proforma, quotation, order confirmation, website or other durable medium. The Buyer’s signature or written or electronic approval of the proforma, quotation or order confirmation, payment of any advance or down payment, taking delivery of the goods, or any other act indicating assent to performance, shall constitute acceptance of the Individual Contract and of these Terms as a single, binding whole.

If the Buyer is a consumer within the meaning of the Turkish Consumer Protection Law No. 6502, the mandatory provisions of that Law and of the applicable secondary legislation shall remain reserved. Where the parties have their places of business in different States and the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980) (CISG) is otherwise applicable, the Individual Contract may specify whether the CISG applies or is excluded.

These Terms may be issued in Turkish, English and German. In the event of inconsistency, the Turkish text shall prevail for sales concluded in the Republic of Türkiye; for international sales, the English text shall prevail unless the Individual Contract provides otherwise.
